Terms of Service.

1. Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you and Scalewell ("Scalewell", "we", "us", or "I"), a product & web design studio based in Hamilton, Ontario, Canada. By accessing this website or engaging Scalewell for design work, you agree to these Terms. If you do not agree, please do not use the site or our services.

2. Services

Scalewell provides web and product design services, including custom website design, UI/UX design, landing page optimization, branding, and website redesigns. The exact deliverables, timeline, and price for any engagement are defined in a separate written proposal or statement of work, which takes precedence over these Terms where they conflict.

3. Proposals, fees & payment

All project pricing is fixed-scope and confirmed in writing before work begins. Unless your proposal states otherwise:

• A deposit of 50% is due before a project is scheduled, with the balance due before final files or site launch.
• Monthly care plans are billed in advance and may be cancelled with 30 days' notice.
• Invoices are payable within 14 days. Late balances may pause active work.

4. Revisions & scope

Each package includes a defined number of revision rounds, noted in your proposal. Requests that fall outside the agreed scope — additional pages, new features, or extra revision rounds — are quoted separately and approved by you before they proceed.

5. Client responsibilities

To keep your project on schedule, you agree to provide content, brand assets, feedback, and approvals in a timely manner. Scalewell is not responsible for delays caused by late materials or feedback. You confirm that any content you supply does not infringe the rights of third parties.

6. Intellectual property

Upon receipt of final payment, ownership of the final, delivered design and front-end code transfers to you. Scalewell retains ownership of any preliminary concepts, working files, and proprietary tools, and reserves the right to display the completed work in its portfolio and marketing unless you request otherwise in writing.

7. Third-party services

Projects may rely on third-party platforms and tools such as Webflow, Framer, Shopify, hosting providers, and fonts. Their use is governed by their own terms, and Scalewell is not liable for their availability, pricing changes, or performance.

8. Warranties & liability

Services are provided with reasonable skill and care. To the maximum extent permitted by law, the site and services are provided "as is" without further warranties, and Scalewell's total liability for any claim arising from an engagement is limited to the fees paid for that engagement. Scalewell is not liable for indirect or consequential losses, including lost profits or data.

9. Termination

Either party may end an engagement in writing. If you terminate after work has begun, you remain responsible for fees covering work completed up to that point, and the deposit is non-refundable.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

11. Changes to these terms

We may update these Terms from time to time. The "last updated" date above reflects the current version, and continued use of the site after changes constitutes acceptance.
